1. Acceptance
By using PaidClip, you agree to these terms. We may update them; continued use means acceptance.
2. The Platform
PaidClip connects brands with creators for UGC campaigns. We aggregate opportunities from third-party platforms and host native campaigns. We do not guarantee outcomes, earnings, or availability.
3. Accounts
- Must be 18+ to create an account.
- You are responsible for your account information and activity.
- We may suspend or terminate accounts at our discretion.
4. For Creators
- You represent that submitted content is original and doesn't infringe third-party rights.
- Approved content grants the commissioning brand usage rights.
- You are an independent contractor, not an employee.
- You are responsible for reporting income for tax purposes.
- Comply with FTC endorsement guidelines — disclose paid partnerships.
5. For Brands
- You are responsible for campaign brief accuracy.
- You agree to pay for approved content at agreed-upon rates.
- Subscriptions are handled through Whop, subject to their terms.
- You own content rights for approved submissions.
6. Payments
Payments are processed through Stripe and Whop. PaidClip is not responsible for processor errors. Creators are paid upon brand approval.
7. Prohibited Activities
- Fraudulent or misleading content
- Harassment or abuse
- Unauthorized scraping or automation
- Circumventing payment or security mechanisms
- Illegal activities
- Copyright infringement
8. Intellectual Property
The PaidClip name, logo, and platform design are our IP. User content remains the creator's property, subject to brand usage rights upon approval.
9. Disclaimer
THE PLATFORM IS PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.
10. Limitation of Liability
PaidClip is not liable for indirect, incidental, or consequential damages.
11. Governing Law
Delaware law, without regard to conflict-of-law principles.
